Welcome to Tastily! These Terms of Service (“Terms”) govern your use of the Tastily mobile application (“App”) and related services. Please read these Terms carefully before using the App. By creating an account or using Tastily, you agree to these Terms. If you do not agree, do not use the App.
1. Parties and Acknowledgement
This agreement is between you (the user) and VIRO Inc. (“Tastily,” “we,” “us,” or “Company”). Tastily is the brand name of our mobile app and service, which is owned and operated by VIRO Inc., a Delaware corporation.
2. The Tastily App and Service
Tastily is a personalized food recommendation service. Users build a Taste Profile (e.g. flavor and texture preferences, dietary needs) through onboarding and subsequent inputs. Using your profile and location, Tastily recommends dishes from nearby restaurants and explains why they might suit your tastes. Recommendations and explanations are generated via an AI assistant. Important: These are suggestions for informational purposes only – see Section 7 (Disclaimers) for important information on AI limitations and health/dietary advice.
3. Eligibility and Age Restriction
You must be at least 13 years old (or older if required by your jurisdiction) to use Tastily. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf. The App is not intended for children under 13, and we do not knowingly collect personal information from them. If we learn that a user under 13 is using the App, we will take steps to suspend the account and delete any associated data. European users: if you are under 16 years old, you may need a parent or guardian’s consent to use certain features under applicable law (we may limit features until age is verified).
4. Accounts and Login
To use Tastily, you need to create an account via Sign in with Apple or Google Sign-In. You agree to provide accurate information (e.g. sharing your Apple or Google account name/email as needed). You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must not impersonate someone else or create multiple accounts in a deceptive manner. If you suspect unauthorized use of your account, contact us immediately at support@viro-tech.com.
5. Subscription Plans and Billing
a. Auto-Renewing Subscription
Tastily operates on a subscription model. We offer a Monthly Plan at $4.99/month and a Annual Plan at $29.99/12 months. Prices are in U.S. Dollars (USD) (taxes may apply). By subscribing, you authorize Apple to bill the subscription fee to your Apple App Store account at the start of each billing cycle (monthly or annually, depending on the plan), until you cancel.
b. Free Trial
New subscribers are eligible for a one-time free trial of 3 days. The free trial begins when you start a subscription in the App.
c. Managing & Canceling
You can manage or cancel your Tastily subscription at any time via your Apple ID Account Settings on your device.
d. Changes in Fees
Tastily may change subscription pricing or introduce new charges in the future.
6. Usage Limits and Fair Use Policy
Tastily’s plans come with token usage limits to ensure fair use and to manage costs:
- Input Tokens represent the amount of content you can submit to the AI (for example, characters or words in your prompts, taste profile data updates, and any menu text processed).
- Output Tokens represent the AI-generated content we return (for example, the text of dish recommendations or explanations).
Each subscription cycle (monthly or quarterly) has a cap on input and output tokens. Under the Monthly Plan, the limit is approximately 200,000 input tokens and 100,000 output tokens per month. Under the Annual Plan, the limits are approximately 2,400,000 input and 12,000,000 output tokens per 12-month period. These limits reset at the start of each new billing cycle.
We calculate token usage using automated counters in our system (based on the AI API’s measurement of tokens). Partial usage (e.g. a partial token) is rounded up to the next whole token for counting purposes. If you reach your plan’s limit, Tastily may temporarily throttle or suspend AI query responses until your quota resets. We will endeavor to warn you (such as an in-app notification) when you are approaching the limit. Exceeding the limit persistently (through any workaround) is a violation of this Fair Use Policy.
Fair Use & Prohibited Conduct: You agree to use Tastily for personal, non-commercial purposes and in a manner that does not abuse our services. Examples of prohibited behavior:
- Attempting to automate queries or scrape data from Tastily (e.g. using bots/scripts to mass-query the AI or harvest recommendations).
- Prompt injection or manipulation of the AI that is intended to circumvent content filters or generate disallowed content.
- Reverse engineering or extracting the AI models underlying Tastily, or using Tastily’s outputs to create a competing service.
- Knowingly submitting malicious content (viruses, malware) or content that infringes others’ rights when using the service.
- Using the service in a manner that unreasonably exceeds normal usage patterns and threatens our system’s stability for other users (for instance, deliberately hitting token limits in bad faith, or using the App as an open-ended API).
We reserve the right to suspend or terminate accounts that violate this Fair Use Policy or other provisions of these Terms (see Section 12 on Termination).
7. User Content and Conduct
a. User Content
Tastily may allow you to input or upload content, such as your taste preferences, dietary restrictions, queries to the AI, and photos of restaurant menus or dishes (“User Content”). By submitting User Content to Tastily, you grant us a license to use, reproduce, process, and display that content. This license is worldwide, non-exclusive, royalty-free, and includes the right for us to sublicense content to our service providers (such as our AI API partners or cloud processors).
You are responsible for the User Content you provide. You represent and warrant that you have the necessary rights to upload or share the content and that it does not infringe any third-party rights or violate any laws. Do not upload anything illegal, offensive, or inappropriate, including but not limited to content that is defamatory, obscene, pornographic, harassing, threatening, or that violates any intellectual property or privacy rights. We are not obligated to monitor user content, but we reserve the right to review and remove (or anonymize) any User Content that we believe violates these Terms or applicable law, or for any reasonable operational reason.
b. Acceptable Use
You agree to use Tastily in a lawful and respectful manner. In addition to the Fair Use restrictions above, you shall not: (i) attempt to gain unauthorized access to any system or data (no hacking, password mining, or circumventing security measures); (ii) engage in any activity that interferes with or disrupts the App (e.g. a denial-of-service attack); or (iii) use the App to violate any law or regulation, including food safety laws or others, in your interactions with restaurants. You further agree not to use Tastily to discriminate or harass others – for example, do not use our recommendations in a manner to target or disparage a protected group or individual.
8. AI Recommendations – Important Disclaimer
a. No Professional Advice
Tastily’s dish recommendations and explanations are generated by an artificial intelligence system based on the information you provide (taste preferences, etc.) and sometimes by third-party sources (restaurant menus). These AI-generated suggestions are for informational and entertainment purposes only. Tastily is not a professional nutritionist or medical advisor. We do not guarantee that any recommended dish will meet your personal health, dietary, or allergy requirements. Always use your own judgment and, if needed, consult restaurant staff or qualified professionals regarding allergens or dietary restrictions. For example, if you have a food allergy, you must confirm with the restaurant whether a dish is safe for you – do not rely solely on Tastily’s recommendation or explanation.
b. AI Limitations
The AI may occasionally produce incorrect, outdated, or irrelevant information. Restaurant menu details can change, and the AI’s interpretation might be incomplete or mistaken. We strive to provide helpful explanations (“why this dish matches you”), but we do not guarantee accuracy or completeness. You agree that you understand the risk that AI outputs may be erroneous. If you find an AI-generated recommendation that seems wrong or problematic, you should disregard it and you may report it to us at support@viro-tech.com so we can improve our system.
c. No Guarantee of Availability
The App’s AI features depend on third-party AI services (e.g. OpenAI, Google). We aim for high availability, but responses may occasionally be delayed or unavailable due to technical issues, including reaching usage limits or downtime from our AI provider. We are not liable for any consequence of the AI being unreachable or failing to provide a response.
d. User Responsibility
By using Tastily, you assume responsibility for your dining choices. Tastily is not responsible for any illness, injury, or dissatisfaction that may occur from following an AI recommendation. Always exercise common sense: if a suggested dish contains ingredients you dislike or are allergic to, do not consume it. Verify ingredients with the restaurant when in doubt. Urgent or health-critical decisions should not be made based on Tastily. (For example, Tastily should not be used to handle life-threatening allergy decisions – always double-check with a human professional.)
9. Intellectual Property Rights
a. Our App and Content
The Tastily App (including all software, code, design, algorithms, AI models not owned by third parties, text, graphics, logos, and other content we provide) is owned by VIRO Inc. or its licensors and is protected by intellectual property laws. Tastily and its logo are our trademarks/service marks. We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple devices that you own or control, solely as permitted by Apple’s App Store Usage Rules and in accordance with these Terms. This license is for personal, non-commercial use of the service. You may not distribute, rent, sublicense, or transfer the App to others. You may not copy, modify, create derivative works of, decompile, or reverse-engineer any part of the App except to the limited extent allowed by law (and if so, with prior notice to us).
All rights not expressly granted to you are reserved by the Company. If you breach these license terms, we may terminate your right to use the App (see Termination section).
b. Feedback
If you choose to provide feedback, suggestions, or ideas about Tastily (“Feedback”), you agree that we may use the Feedback freely and incorporate it into our products or services without any obligation to you. You hereby grant us a perpetual, sublicensable, royalty-free license to use and publish any Feedback you provide, at our discretion, without compensation.
c. Third-Party Content
Tastily may display content that is not ours, for example restaurant names, menu items, descriptions, or third-party logos. These are owned by their respective owners (restaurants, etc.). Display of third-party content in Tastily is transformative fair use for informational purposes (i.e. showing a menu item to you along with our recommendation rationale), or under license. We do not claim ownership of third-party trademarks or copyrighted materials that may appear when we show you restaurant information.
10. App Store and Third-Party Terms
a. App Store Terms
Because you downloaded Tastily from Apple’s App Store, your use of the App is also subject to Apple’s App Store Terms and Conditions. If those terms conflict with these Terms in some way, the App Store Terms may take precedence for matters relating to the use of the App via Apple’s platform.
11. Disclaimers of Warranties
Use at Your Own Risk: Tastily is provided on an “AS IS” and “AS AVAILABLE” basis. While we strive to provide a great service, we make no guarantees that the App will always be safe, secure, error-free, or that it will function without delays or imperfections. To the fullest extent permitted by law, Tastily (VIRO Inc.) disclaims all warranties and conditions of any kind, whether express, implied, or statutory, regarding the App and its services. This includes any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We specifically do not warrant that: (a) Tastily’s recommendations or content will meet your expectations or requirements; (b) the service will be uninterrupted, timely, secure, or error-free; or (c) that any errors or defects in the App will be corrected.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIRO Inc. (the “Company”) will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunities, anticipated savings, or cost of substitute services, arising out of or relating to the App, the Services, any restaurant/menu information, any AI-generated outputs, any User Content (including uploaded menu photos), or these Terms, even if the Company has been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, negligence, strict liability, misrepresentation, restitution, statute, or otherwise), and even if any remedy fails of its essential purpose.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Company’s total aggregate liability for all claims arising out of or relating to the App, the Services, or these Terms will not exceed the greater of: (a) $50.00, or (b) the total amounts you paid to the Company for subscriptions in the three (3) months immediately preceding the event giving rise to the claim.
Without limiting the foregoing, you agree the Company has no liability for (i) any allergic reaction, illness, injury, or damages arising from food consumption or restaurant services; (ii) inaccuracies or omissions in menus, ingredients, allergens, nutrition, availability, or pricing; (iii) your reliance on any AI output or recommendation; or (iv) third-party products or services (including Apple’s subscription/billing systems).
Nothing in these Terms excludes or limits liability to the extent it cannot be excluded or limited under applicable law (for example, certain liabilities for intentional misconduct or fraud, or non-waivable consumer rights).
BASIS OF THE BARGAIN: You acknowledge these limitations are an essential part of these Terms and reflect an allocation of risk and the fees charged.
13. Indemnification
You agree to indemnify, defend and hold harmless VIRO Inc. (and its officers, directors, employees, contractors, and agents) from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of Tastily (including any actions taken by a person using your account); (b) your User Content or feedback; (c) your violation of any provision of these Terms; or (d) your violation of any applicable law or regulation. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You will not settle any claim that affects us without our prior written approval.
14. Termination
By You: You may stop using Tastily and/or delete your account at any time. If you wish to delete your account and personal data, you can do so via the App’s account settings or by contacting us (see Privacy Policy for more on data deletion). Deleting the App from your device alone does not automatically cancel your subscription or delete your account data – you must separately cancel any subscription through Apple (see Section 5(c)) and request account deletion if desired.
By Us: We reserve the right to suspend or terminate your access to Tastily (including your account) at any time, with or without notice, if we reasonably believe: (i) you have violated these Terms (or any applicable law) or have misused the service; (ii) your account has been compromised or is being used fraudulently or unlawfully; or (iii) it’s necessary to protect our App, our users, or the public. We will try to notify you of the reason for termination or suspension when feasible, either through the App or to your registered email, unless we are legally prevented from doing so or the situation calls for immediate action.
After any termination of your account or these Terms, the following provisions will survive: any licenses you granted to us to use your feedback or User Content (to the extent needed for archival and legal purposes), our disclaimers of warranties and limitations of liability, the dispute resolution provisions, and any other clauses which by their nature are intended to survive.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, excluding its conflict of laws principles. However, we acknowledge that you may have certain consumer protection rights under the laws of your home jurisdiction. Nothing in this section will override any rights you have as a consumer under mandatory law (e.g., if you reside in California, you may have rights under California law even if we choose Delaware law to govern).
16. Miscellaneous
Entire Agreement: These Terms (along with the Privacy Policy and any additional guidelines or terms we provide for specific features) constitute the entire agreement between you and us regarding the App, and supersede any prior agreements on the same subject. Any waiver of any provision of the Terms will be effective only if in writing and signed by the party waiving compliance.
Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from the Terms and will not affect the validity and enforceability of any remaining provisions. The invalid provision will be interpreted, replaced, or reformed to the extent reasonably necessary to achieve the intent of the original provision, or if that is not possible, it will be struck from these Terms.
No Waiver: Our failure to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that provision or any other provision. Any waiver must be in writing and signed by us.
Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. We may assign these Terms or any rights hereunder without your consent to an affiliate, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms are binding upon and inure to the benefit of the respective successors and permitted assigns of the parties.
Changes to Terms: We may occasionally update these Terms. If we make material changes, we will notify users (e.g. via an in-app alert or email) and give an opportunity to review before the changes take effect. By continuing to use the App after the updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree, you must stop using the App and, if applicable, cancel your subscription.
